Our services may integrate with or rely on third-party platforms, APIs, or services. We do not guarantee the availability, accuracy, or performance of such third-party services.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CODINGBYTS' TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
IN NO EVENT SHALL CODINGBYTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, REGARDLESS OF THE CAUSE OF ACTION OR WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
You agree to indemnify, defend, and hold harmless CodingByts and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.
Either party may terminate these Terms or any service engagement upon written notice if the other party materially breaches these Terms and fails to cure such breach within thirty (30) days of receiving written notice.
Upon termination, you shall pay for all services rendered up to the termination date. Provisions that by their nature should survive termination, including intellectual property rights, confidentiality, limitation of liability, and indemnification, shall survive.
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
Any disputes arising from these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with applicable arbitration rules.
For any matters not subject to arbitration, you consent to the exclusive jurisdiction of the courts located in Chandigarh, India.
These Terms, together with any applicable service agreements, constitute the entire agreement between you and CodingByts regarding the subject matter hereof and supersede all prior agreements and understandings.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
